All services are customized and project-specific, and are described in detail in the scope of work or proposal agreed upon prior to engagement. We reserve the right to modify or discontinue any service offering without prior notice.

4. Payments & Billing

All projects and services require payment terms as outlined in individual contracts or proposals. Unless otherwise specified, payments must be made in USD via accepted payment methods such as credit/debit cards, bank transfers, or third-party gateways. Clients are responsible for ensuring timely payments. Any delay beyond the due date may incur late fees, which may include a flat fee or a percentage of the outstanding amount. Webify Designs also reserves the right to suspend ongoing work or withhold deliverables in the event of non-payment.

5. Recurring Payments & Renewals

For ongoing services such as monthly marketing retainers or hosting, payments will be charged on a recurring basis unless canceled in writing at least three business days before the next billing cycle. Cancellations made after this period will be effective in the following cycle.

6. Refunds & Cancellations

Due to the customized nature of our work, refunds are not typically offered once work has commenced. However, we are committed to delivering client satisfaction and encourage open communication to resolve any concerns. In cases of early termination:

• Clients will be invoiced for work completed up to that point.
• Deposits or partial payments made in advance are generally non-refundable.
• Cancellations must be submitted in writing and acknowledged by Webify Designs.

We strive to approach all disputes with professionalism and a commitment to mutually beneficial outcomes.

7. Intellectual Property

All original materials, designs, code, content, and digital assets created by Webify Designs during the course of any engagement remain the property of Webify Designs until full payment is received. Upon final payment:

• Ownership of custom work is transferred to the client, excluding any third-party tools or frameworks used under license.
• Webify Designs retains the right to showcase completed projects in our portfolio unless otherwise agreed upon in writing.

8. Client Responsibilities

Clients are expected to provide timely approvals, feedback, and any content or access required for the execution of the project. Delays in providing such inputs may affect delivery timelines and may not constitute grounds for dispute. Clients are also responsible for the accuracy and legality of all content and materials they supply.

9. Limitation of Liability

Webify Designs makes every effort to ensure quality and accuracy in all services provided. However, we do not warrant that our services will be error-free or uninterrupted. To the maximum extent permitted by law, Webify Designs shall not be liable for:

• Any indirect, incidental, or consequential damages;
• Loss of data, profits, or revenue;
• Issues arising from third-party tools or integrations.

10. Indemnification

Clients agree to indemnify and hold harmless Webify Designs, its employees, and partners from any claims, liabilities, damages, or expenses arising out of:

• Misuse of our services;
• Infringement of intellectual property;
• Breach of any terms outlined herein.

11. Termination

We reserve the right to terminate or suspend any engagement at our discretion if there is a breach of contract, unethical behavior, or failure to comply with these Terms & Conditions. In such cases, clients will still be responsible for payments due up to the point of termination.

12. Governing Law & Dispute Resolution

These Terms & Conditions are governed by the laws of the USA. Any disputes shall first be resolved amicably through discussion or mediation. If unresolved, they will be settled through binding arbitration or in a court of competent jurisdiction in the USA.

13. Updates to Terms

We may update these Terms & Conditions from time to time without prior notice. It is the client’s responsibility to review this page periodically. Continued use of our services constitutes acceptance of any modifications.
